Please read through the Terms and Conditions listed below to ensure all parties are satisfied with the agreed transaction of services and the services are provided within all parties’ expectations.

1. DEFINITION OF PARTIES:
1.1 Feel Good Staff Ltd “Feel Good Staff” or the “Booking Agent”.
1.2 The “Workshop Facilitator” means the individual(s) who attends, manages, and conducts the relevant workshop or service listed on Feel Good Staff.
1.3 The “Client” means the company or organisation or other entity, third party, individual or partnership that has accepted to book a workshop or service with a view to procuring the services of the Workshop Facilitator who listed the workshop. Where stated, this may include the Client’s attendees / participants.
1.4 The “Event” or “workshop” or “service” refers to the services and/or workshop booked by the Client via Feel Good Staff. The Event is managed and conducted by the Workshop Facilitator who listed the Event through Feel Good Staff, scheduled for the date and time selected by the Client during the booking process and to take place online or at the location of the Client.
1.5 “Terms and Conditions” means the terms and conditions as set out on this page.
1.6 “Booking Confirmation” means the contract between the Client and the Workshop Facilitator for the services incorporating these Terms and Conditions.

Workshop Facilitators

2. GENERAL
2.1 These Terms and Conditions supersede any other documentation or communication between parties.
2.2 By choosing to accept the Terms and Conditions, you accept and agree to the Terms and Conditions in its entirety.
2.3 You must be at least 18 years old to list your workshop or service on Feel Good Staff.
2.4 Your data will be kept for as long as deemed necessary. It will be stored safely and will not be passed on to any persons or third parties. Please refer to Feel Good Staff’s Privacy Policy page on its website for a complete breakdown on GDPR, cookies, and more.
2.5 These Terms and Conditions shall be supplied as a web link to the Feel Good Staff ‘Terms & Conditions’ web page on all Booking Confirmation emails.

3. BOOKING CONFIRMATION
3.1 Where the Workshop Facilitator has confirmed they are available for work at a specified date, time, and location as chosen by the Client, the Workshop Facilitator is obligated to honour the booking in its entirety.
3.2 The Workshop Facilitator is responsible for updating their available working dates on its Feel Good Staff account page. If a booking comes through on a date that states the Workshop Facilitator is otherwise available on that date, the Feel Good Staff booking takes priority over any other plans the Workshop Facilitator may have on that date.
3.3 Feel Good Staff reserves the right to remove the Workshop Facilitator from its database should the Workshop Facilitator not honour the Feel Good Staff booking.
3.4 Where the Event has been arranged to take place online, Feel Good Staff will arrange a video link to be sent via email to the Workshop Facilitator’s email used for its Feel Good Staff account. The Client will also receive the video link and is then responsible to forward the link to all attendees looking to participate in the Event.

4. TRAVEL AND OTHER COSTS
4.1 All travel costs and over heads must be covered by the Workshop Facilitator to the required location. This includes, but not limited to, parking charges, congestion zone charges, any fines, or toll routes.
4.2 The Workshop Facilitator is responsible for arranging their own travel to the Event location, ensuring they arrive early enough to accommodate for potential delays and to attend the Event promptly at the agreed start time.

5. PAYMENT
5.1 Payment will be made within 30 days of the date the Event has been completed, providing the Event has been completed to a satisfactory standard in the opinion of the Client and Feel Good Staff.
5.2 Payment will be made within the 30 days from when the Workshop Facilitator’s invoice has been received. The invoice will be made out to Feel Good Staff Ltd, with address 37 Eastfield Road, Bristol BS94AE and sent to support@feelgoodstaff.com in PDF format.
5.3 Payment shall be made by Feel Good Staff directly to the Workshop Facilitator using all main digital payment options, including direct card processing.
5.4 The Workshop Facilitator shall be solely responsible for compensating any co-facilitator or partner in accordance with the terms agreed upon between them for a given workshop. Feel Good Staff will make the full payment only to the primary account holder of the relevant workshop listing.
5.5 The Workshop Facilitator is responsible for the payment of any tax, National Insurance, VAT and other payments required by them under law.

6. WORKSHOP FACILITATOR OBLIGATIONS
6.1 The Workshop Facilitator shall, at all times, act in a professional and courteous manner and shall attend each Event on time and at the agreed location or, if agreed upon, online using the correct virtual meeting link. Be mindful of cultural differences and ensure you are aligned with Diversity and Inclusion policies in general, and as part of the Client’s policies that may be in place.
6.2 It is the responsibility of the Workshop Facilitator to arrive in enough time to prepare prior to the Event start time. This includes factoring in travel time and possible travel delays.
6.3 The Workshop Facilitator shall carry out every event to the best standard of ability and skill as described in the relevant workshop listing page, booked by the Client on Feel Good Staff.
6.4 The Workshop Facilitator will not act in any manner that is deemed damaging to the reputation of themselves, the Client, or Feel Good Staff.
6.5 The Workshop Facilitator shall be responsible to maintain its own public liability insurance with proof if asked for by the Client.
6.6 The Workshop Facilitator may not bring any other persons to the Event unless previously agreed with by the Client or otherwise stated on the relevant workshop listing page on Feel Good Staff.
6.7 The Workshop Facilitator shall comply with all rules and regulations relating to health and safety, fire prevention or general administration that may be in place at the location of the Event.
6.8 The Workshop Facilitator shall ensure that any equipment in their ownership which is used during the Event meets basic safety standards and is in good working order. This includes a capable computer and internet connection and a suitable environment for a workshop that has been agreed to take place virtually.
6.9 If catering is provided, the Workshop Facilitator should have full knowledge of all ingredients when requested upon and inform participants of any high-risk ingredients (such as milk, eggs, fish, Crustacean shellfish, tree nuts, peanuts, wheat, and soybeans) before serving. This includes all contamination risks across the items offered.
6.10 If unable to provide a full ingredients list and a participant is unsure whether to consume the item in question, the Workshop Facilitator must either refrain from serving the item in question to the requesting participant or, at a minimum, warn them that consumption is at their own risk.
6.11 If catering is provided, if the Client requests, the Workshop Facilitator will have to show Food Hygiene credentials.
6.12 If the venue provided by the Client is unable to accommodate the Workshop Facilitator and the Workshop Facilitator is unable to perform for this reason, the Workshop Facilitator will not be held responsible for inadequate services. Please always offer alternative solutions or workarounds, where possible.

7. RE-ENGAGEMENT OF THE CLIENT
7.1 The Workshop Facilitator must not work for the Client direct, and any future bookings must be directed through Feel Good Staff. If this condition is broken, Feel Good Staff reserves the right to charge a fee to the Workshop Facilitator for an amount depending on the possibility of a loss of future bookings.
7.2 The Workshop Facilitator shall not pass on any personal business cards or other contact details and promotional material to the Client, the participants of the Event or other third parties, other than the details of Feel Good Staff.

8. LIABILITY
8.1 In the unlikely event that an accident, injury, damage, or any other adverse experience occurs during the Event, the responsibility lies with the Workshop Facilitator or the Client, and to be resolved between the Workshop Facilitator and the Client.
8.2 As the Booking Agent, Feel Good Staff is not responsible or liable for any adverse conditions as stated in 8.1.
8.3 As stated in 6.5, all parties shall be responsible to maintain its own public liability insurance.

9. CANCELLATION
9.1 The Workshop Facilitator may not under any conditions cancel the booking unless due to Force Majeure or illness. In such cases, on provision of reasonable proof, the Workshop Facilitator may not be held in breach of contract by Feel Good Staff.
9.2 Any party asserting Force Majeure so as to negate liability shall have the burden of proving it and justifying that they took preventative action wherever possible to counteract the circumstance.
9.3 If Workshop Facilitator (a) is booked in conjunction with Workshop Facilitator (b) for the same Client over the same time and date, and that Workshop Facilitator (b) is unable to attend due to Force Majeure or illness, and as a result the services of Workshop Facilitator (a) may no longer be needed by the Client, the Client has the right to cancel the booking of Workshop Facilitator (a) for a full refund. Feel Good Staff will not be held accountable for the lost income of the booking for Workshop Facilitator (a). Where possible, Feel Good Staff will enquire with the Client if a re-booking of the Event can be organised.
9.4 The Workshop Facilitator agrees to inform Feel Good Staff immediately of any unintended cancellation.
9.5 In the event of a no-show, or if the Workshop Facilitator arrives late or leaves before completing the agreed booking schedule, the Client would be due a full refund of the booking. Feel Good Staff also reserves the right to charge the Workshop Facilitator a penalty fee of 20% of the booking price, payable to Feel Good Staff within fourteen days of the Event. The fee may be waived if the Workshop Facilitator submits third-party evidence of a serious accident, illness or personal tragedy before the start time of the Event. In any case, a full refund is payable to the Client. Where possible, Feel Good Staff will enquire with the Client if a re-booking of the Event can be organised.
9.6 If the Client cancels a booking Feel Good Staff will not be held responsible. If the cancellation is within seven days of the Event, Feel Good Staff will withhold payment from the Client and reimburse the Workshop Facilitator 50% of the price agreed for the Event.

10. SOCIAL MEDIA
10.1 With the Client’s approval, the Workshop Facilitator may share photos, videos, or other content from the Event on social media, ensuring all posts for events booked through Feel Good Staff tag @FeelGoodStaff on Instagram and/or the Feel Good Staff company page on LinkedIn.
10.2 As outlined in Section 7, using the Client’s and the Workshop Facilitator’s social media channels to arrange direct bookings outside of Feel Good Staff is prohibited and is in breach of contract.
10.3 Feel Good Staff may use the Workshop Facilitator’s social media content from events booked through Feel Good Staff to promote the Workshop Facilitator’s services, attract future clients, or for Feel Good Staff’s marketing purposes, social media channels, and on its website.

11. ENTIRE WORKSHOP FACILITATOR AGREEMENT
These Terms and Conditions supersede any previous agreements, arrangements, documents or other undertakings either written or oral and shall be governed by and construed in accordance with the law of England and the parties hereby submit to the exclusive jurisdiction of the English courts.

The Client

12.4 These Terms and Conditions shall be supplied as a web link to the Feel Good Staff ‘Terms & Conditions’ web page on all Booking Confirmation emails.

13. BOOKING CONFIRMATION
13.1 Where the Client has booked the Event at a specified date, time, and location as chosen by the Client, and the Workshop Facilitator has confirmed they are available for that event, the Client is obligated to honour the booking in its entirety.
13.2 Feel Good Staff reserves the right to remove the Client from its database should the Client not honour the Feel Good Staff booking.
13.3 Where the Event has been arranged to take place online, Feel Good Staff will arrange a video link to be sent via email to the Client’s email used for its Feel Good Staff account. The Client is then responsible to forward the link to all attendees looking to participate in the Event.

14. PAYMENT
14.1 Payment for a booking will be made to Feel Good Staff by the Client. Payment can be made using all main digital payment options, including direct card processing, Apple Pay®, and Google Pay™.
14.2 The price of the Event as shown on its listing page includes a commission that Feel Good Staff will take in agreement with the Workshop Facilitator. The price as shown also includes a transaction charge (circa 1.5%), paid to PayPal for its business services, utilised by Feel Good Staff.

15. CLIENT OBLIGATIONS
15.1 The Client shall always act in a professional and courteous manner towards the Workshop Facilitator and shall attend the Event on time and at the agreed location or, if agreed upon, online using the correct virtual meeting link.
15.2 The Client agrees to grant the individual(s) representing as the Workshop Facilitator as specified in the booking, access to the premises and confirms that all necessary permissions for their entry are in place to allow the Workshop Facilitator sufficient time to prepare for the Event.
15.3 The number of attendees must be within the maximum limit as stated by the Client when making the booking.
15.4 The Event may not overrun the allotted time of the Event, and it is within the rights of the Workshop Facilitator to end the Event on the agreed ending time as confirmed in the booking.
15.5 It is the responsibility of the Client to organise a suitable venue within its premises for the workshop to take place. The provided venue should also include amenities available to the Workshop Facilitator, such as cleanliness, onsite parking (if available), changing facilities, toilets and drinking water.
15.6 The Client and its attendees will not act in any manner that is deemed damaging to the reputation of themselves, the Workshop Facilitator, or Feel Good Staff.
15.7 The Client shall be responsible to maintain its own liability insurances, where necessary.
15.8 The Client shall be responsible for all rules and regulations relating to health and safety, first aid and fire prevention that may be in place at the location of the Event.
15.9 The Client shall ensure that any equipment in their ownership which is used during the Event meets basic safety standards and is in good working order.
15.10 It is the responsibility of the Client to make sure all attendees have a suitable electronic device and internet connection if the Event is to take place online. As the Booking Agent, Feel Good Staff will not be responsible for poor internet connection or other technological issues for a workshop that has been agreed to take place virtually.
15.11 If catering is provided, should the Workshop Facilitator be unable to provide a full ingredients list and a participant is unsure whether to consume the item in question, the Client and its attendees consume food and beverage items at their own risk.
15.12 If the venue provided by the Client is unable to accommodate the Workshop Facilitator and the Workshop Facilitator is unable to perform for this reason, the Workshop Facilitator will not be held responsible for inadequate or unfulfilled services of the planned workshop Please always offer alternative solutions or workarounds, where possible.

16. RE-ENGAGEMENT OF THE WORKSHOP FACILITATOR
16.1 The Workshop Facilitator must not work for the Client direct, and any future bookings must be directed through Feel Good Staff. If this condition is broken, Feel Good Staff reserves the right to charge a fee to the Client for an amount depending on the possibility of a loss of future bookings.
16.2 The Client, participants of the Event or third parties shall not pass on any personal business cards or other contact details to the Workshop Facilitator.

17. LIABILITY
17.1 In the unlikely event that an accident, injury, damage, or any other adverse experience occurs during the Event, the responsibility lies with the Workshop Facilitator or the Client, and to be resolved between the Workshop Facilitator and the Client.
17.2 As the Booking Agent, Feel Good Staff is not responsible or liable for any adverse conditions as stated in 17.1.
17.3 As stated in 15.7, all parties shall be responsible to maintain its own public liability insurance.

18. CANCELLATION
18.1 The Workshop Facilitator may not under any conditions cancel the booking unless due to Force Majeure or illness. Should a cancellation occur due to Force Majeure or illness, Feel Good Staff will not be held responsible, though the Client will be refunded 100% of the price of the booking.
18.2 Any party asserting Force Majeure so as to negate liability shall have the burden of proving it and justifying that they took preventative action wherever possible to counteract the circumstance.
18.3 The Client has the right to cancel a booking up to seven days before the date of the Event for a full refund of the price of the Event.
18.4 If the Client’s cancellation is within seven days of the Event, Feel Good Staff will withhold the full payment from the Client and reimburse the Workshop Facilitator 50% of the price agreed for the Event.
18.5 If Workshop Facilitator (a) is booked in conjunction with Workshop Facilitator (b) for the Client over the same time and date, and that Workshop Facilitator (b) is unable to attend due to Force Majeure or illness, and as a result the services of Workshop Facilitator (a) may no longer be needed by the Client, the Client has the right to cancel the booking of Workshop Facilitator (a) for a full refund. Where possible, Feel Good Staff will enquire with the Client if a re-booking of the Event can be organised.
18.6 The Client agrees to inform Feel Good Staff immediately of any unintended cancellation.
18.7 In the event of a no-show by the Workshop Facilitator, or if the Workshop Facilitator arrives late or leaves before completing the agreed booking schedule, a full refund is payable to the Client.

19. SOCIAL MEDIA
19.1 Before the start of the Event, please advise the Workshop Facilitator whether they are allowed to record videos, photos or other content of the Event which then may be publicly shared.
19.2 The Client may share photos, videos, or other content from the Event on social media, ensuring all posts for events booked through Feel Good Staff tag @FeelGoodStaff on Instagram and/or the Feel Good Staff company page on LinkedIn.
19.3 As outlined in Section 16, using the Client’s and the Workshop Facilitator’s social media channels to arrange direct bookings outside of Feel Good Staff is prohibited and is in breach of contract.
19.4 At the Client’s discretion, Feel Good Staff may ask to use the Client’s social media content from events booked through Feel Good Staff to promote Feel Good Staff services, attract future clients, or for marketing purposes, social media channels and on its website.

20. ENTIRE CLIENT AGREEMENT
These Terms and Conditions supersede any previous agreements, arrangements, documents or other undertakings either written or oral and shall be governed by and construed in accordance with the law of England and the parties hereby submit to the exclusive jurisdiction of the English courts.
